Advising on all aspects of domestic and cross border mergers and acquisitions, from due diligence through to post-completion, including but not limited to the following:
> Acted as Hong Kong counsel to a leading supplier of disposable products for the food service sector in its acquisition of a global provider of disposables serving the food service and janitorial industries.
> Acted as Hong Kong counsel to a market-leading global business services provider specialising in safety and specialty solutions across more than 200 locations worldwide in its US$3.1 billion acquisition of a fire safety and security service provider.
> Acted as Hong Kong counsel to an industrial technology manufacturing company in its US$540 million acquisition of a global designer and provider of highly engineered electromechanical switches and interface technology solutions.
> Acted as Hong Kong counsel to a leading manufacturer of workplace furnishings and residential building products in the sale of its China and Hong Kong based office furniture business.
> Acted as Hong Kong counsel to a US global player in digital transformation and engineering in its acquisition of a leading consulting firm specialized for the capital markets industry.
Acting jointly with US and European counsels for a number of multinational clients in their global restructurings, including advising on all legal and procedural aspects of the inward re-domiciliation regime of Hong Kong.
Advising on complex joint ventures and drafting of various agreements including joint ventures agreements, shareholders agreements, franchise agreements and subscription agreements.
Issuing legal opinions on Hong Kong companies and Hong Kong transaction documents.

Acted as Hong Kong counsel to the UK-based engineering and environmental business on £1 billion of available debt facilities made available by leading global alternative investment manager.
Acted as Hong Kong counsel to an Asia Pacific-based investment firm in the mezzanine financing of an Asia-based fitness group.

Advising licensed insurance intermediaries on broad range of insurance regulatory matters, including the licensing of insurance agents and insurance brokers and compliance of statutory requirements, guidelines and codes of conduct issued by the Insurance Authority.

Advising employers and employees on a range of employment related matters, including but not limited to employment contracts and policies, employees’ protection and compensation, transfer of staff and restrictive covenants etc.
