Janney is a partner of our firm and a member of our Corporate Finance Department.

Janney’s practice covers a broad spectrum of corporate finance and general commercial transactions including initial public offerings, secondary offerings, debt offerings, mergers and acquisitions, public takeovers, compliance and regulatory matters.

She has acted for issuers and underwriters in numerous securities listings on The Stock Exchange of Hong Kong Limited, and she has also advised companies listed on The Stock Exchange of Hong Kong, the Shanghai Stock Exchange, the Shenzhen Stock Exchange on various types of transactional and compliance matters.

Janney is qualified in both Hong Kong and England and Wales, and she has also passed the Guangdong-Hong Kong-Macao Greater Bay Area Legal Professional Examination.

Janney has been recognised by China Business Law Journal as one of the “A-List” Elite 100 Lawyers for China (Foreign Firms) since 2020. She has been further recognised by China Business Law Journal as one of the A-List 2023-24: Growth Drivers in 2024.

Janney has also been invited by a number of legal industry publishers to share her insights on the latest practice in the industry, including but not limited to Asia Legal Business (ALB) “2021 Hong Kong Public Listing Handbook” and International Financial Law Review (IFLR) “Capital Markets Special Focus 2022”.

CORPORATE FINANCE & CAPITAL MARKETS

  • Acting as Hong Kong counsel of issuers and underwriters in relation to initial public offerings on the Hong Kong Stock Exchange.
  • Advising listed issuers and their stakeholders on various transactional and compliance matters including their general offer obligations under the Takeovers Code.
  • Advising Chinese companies on their outbound transactions involving mergers and acquisitions, corporate restructuring, financing arrangements, etc.
  • Advising directors and senior management of listed issuers on their general duties and obligations under Hong Kong law and Listing Rules.
