Robertsons' Private Equity & Commercial Department provides a wide range of corporate and transactional services to its clients.

We have considerable experience in the structuring, negotiating and closing of share and asset based transactions across a broad range of manufacturing and service industries.

Through the years, we have worked with the founders many of our corporate clients from their establishment, through rounds of debt and equity fundraising and ultimately to an exit either through trade sales or IPOs. We also provide ongoing compliance advice and assistance to these companies.

We also represent investors and private equity funds advising on and structuring their investments here, as well as in their acquisitions of Hong Kong based groups of companies. We provide a comprehensive legal due diligence service and work with investors to protect and maximise their investments rights based on our substantial track record of transactional work in the territory.

Our team also regularly assists its clients in a wide variety of drafting work relevant to commercial transactions, including subscription, shareholders, joint venture, shareholder and asset and share sale purchase agreements, working with our clients to ensure that these documents best meet our clients’ needs.

In conjunction with our Intellectual Property Department, we have been representing international brands, regional distributors and service and product developers in the region for many years, advising on their franchising, licensing and distribution strategies and documentation.

More generally we prepare a wide variety of commercial agreements and commercial terms and conditions to meet all of the business needs of our clients.
